Mandate Scoping & Mutual Fit Protocols
Initial submissions through the confidential partnership portal constitute preliminary commercial inquiries and do not bind either party to an operational commitment. Official mandates commence only upon mutual execution of structured operational scoping agreements, anti-money laundering clearance, and verified regulatory authorizations.
Limitation of Liability & Consequential Damages Exclusion
To the maximum extent permitted under applicable law, Cedrus International and its directors, officers, and employees shall not be liable for indirect, incidental, special, or consequential damages, including loss of anticipated profits or business interruption, arising out of digital platform utilization or preliminary trade inquiries prior to definitive contract execution.
Maritime Force Majeure & Port Authority Allocation
International shipping and physical commodity sourcing are subject to unpredictable global disruptions. Operational timelines are subject to standard maritime force majeure exclusions, including but not limited to: severe weather and maritime navigation hazards, canal and waterway closures, sovereign trade sanctions or embargoes, labor strikes, and unilateral customs or port authority detentions.

Governing Law & Binding Canadian Federal Arbitration
These Terms of Engagement and any disputes arising in connection with digital platform usage or preliminary commercial discussions shall be governed by the laws of Canada and the Province of Ontario. Any dispute shall be resolved through binding commercial arbitration in accordance with Canadian arbitration standards.
